FIRST. - SUBIECT: Under this contract, THE CONTRACTOR undertakes to provide THE ENTITY, by its own means, with full technical and administrative autonomy, the services aimed at developing and supporting the promotion of Colombia in the United States of America.

SECOND. - VALUE: The value of this contract may reach the sum of ONE HUNDRED AND ELEVEN THOUSAND FIVE HUNDRED SIXTY-TWO DOLLARS AND FIFTY CENTS (USD $111,562.50) including all taxes, expenses and costs that may arise.

THIRD. - PAYMENT METHOD: THE ENTITY will pay the CONTRACTOR, for the previous month or a fractional proportion of the month; in equal installments, the amount of TWENTY THOUSAND THREE HUNDRED TWELVE DOLLARS AND FIFTY CENTAVOS (USD $22,312.50) including all taxes, expenses and costs that may be incurred, based on the services actually provided, assuming compliance with the following requirements: a. b. c. d. e.

Approval of the bank guarantee by THE ENTITY. Presentation by the CONTRACTOR of a report covering the management and activities carried out under this contract. FIRST PARAGRAPH: The Entity will pay the CONTRACTOR within ten (10) business days following the filing of the documents by the Contract Supervisor in the Entity's Financial Area.

SECOND PARAGRAPH: However, the expected payment method is subject to the situation of the resources by the Ministry of Finance and Public Credit once the PAC (Annual Monthly Cash Program) is approved.

THIRD PARAGRAPH: If the invoice has not been correctly prepared or the documents required for payment are not accompanied and/or the term is presented incorrectly, it will only be counted from the date on which the last of the documents is provided and/or presented in due form. The delays presented by these concepts will be the responsibility of the contractor and will therefore not be entitled to interest payments or compensation of any kind.

construction of information and messaging; and in their respective dissemination to the media and key stakeholders in the United States of America, contemplating actions such as: press releases, management of opinion spaces for members of the national government, media interviews with government spokespersons, informative documents, among others. The above without limit of events during the calendar month. 3] Support the management and accompany them before, during and after official visits that are carried out in the United States of America, for which the following activities will be carried out: Preparation and management of the media and stakeholder agenda during the visits, preparation of documents, press releases, key messages and management of meeting with key audiences for specific topics. Unlimited events during the calendar month. 4] Assist the Ministry in the construction of a media plan, as well as in the preparation of information and management of a monthly content of interest meeting of the National Government of Colombia taking into account the input sent by the Ministry of Communications through the contract supervisor, for which publications in relevant media for the specific topic, spokesperson interviews, opinion columns and publications in general on the topics requested each month should be managed. 5] Prepare and submit to the contract supervisor a monthly management report that includes an analysis of local public opinion in relation to Colombia, the Government and the President of the Republic on critical issues regarding validating opportunities and the list of all activities carried out under their strategic advice and support activities completed according to the purpose of the contract. 6] Develop the proposed strategy with the following tactics: i. Update messages and key conversation topics, ii. Update the fact sheets, iii. Prepare Talking Points for speeches/interventions by spokespersons and/or support presentations required for the execution of the designed plans, iv. Relationship plans with the media, v. Approach to third-party opinion leaders, thinktanks, academics, vi. Support in special events. SEVENTH. - GENERAL OBLIGATIONS OF THE CONTRACTOR: The contractor is required to 1] Have everything necessary for the purpose of fully fulfilling the contract. 2 Act with loyalty and good faith in the development of the contract, avoiding delays and entanglements or giving into requests or threats from those who act outside the law in order to force said party to do or omit any act or fact immediately informing THE ENTITY and other competent authorities when such requests or threats are presented 3] Respond for their actions and omissions arising from the conclusion of the contract, and the execution thereof, in accordance with the provisions of Laws 80 of 1993,1150 of 2007 and its regulatory decrees. 4] Not give in to requests or threats from those acting outside the law, in order to force them to do or omit any act or fact, immediately informing the Entity and other competent authorities when such requests or threats are presented. 5] Satisfy the other obligations arising from the nature of the contract and others, which the official designated by the Entity to exercise control over the execution of the contract may determine in compliance with the contractual subject. EIGHTH. - OBLIGATIONS OF THE ENTITY: The entity undertakes to: 1] Pay the CONTRACTOR the amount agreed in the manner established in this contract. 2] Provide the necessary collaboration to the CONTRACTOR for the fulfillment of the contractual subject. 3] Execute, in general, the obligations arising from the nature of the contract. NINTH. - BANK GUARANTEE: In order to guarantee the fulfillment of the contract and the obligations derived therefrom and the payment of fines, the pecuniary penalty and other sanctions that, if necessary, may be imposed, THE CONTRACTOR will grant bank guarantee at the first requirement, through a national or foreign financial institution. So that the bank guarantee at first requirement, which is discussed herein, can be accepted in its granting by THE ENTITY, THE CONTRACTOR must prove the constitution of the guarantee, by delivering the private document containing the said guarantee, signed by the legal representative of the banking establishment or by

its agent and in it must be included: (i) The name of the ADMINISTRATIVE DEPARTMENT OF THE PRESIDENCY OF THE REPUBLIC (Nit. 899999083-0] as a public entity benefiting from the guarantee; [ii] That it is constituted to cover the risks derived from the breach of the obligations assumed by THE CONTRACTOR for the seriousness of the offers and the obligations derived from the contract and its liquidation, the payment of the fines, the pecuniary penalty and other sanctions that, if necessary, may be imposed; [iii] That it is constituted for a term equal to the term of execution of this contract and four [4] more months; [iv] The clear, express and complete indication that the banking entity, issuer of the bank guarantee at first requirement, acting on behalf of and by order of the CONTRACTOR, commits in a firm and irrevocable, autonomous, independent and unconditional manner with the ADMINISTRATIVE DEPARTMENT OF THE PRESIDENCY OF THE REPUBLIC (Nit. 899999083-0), as beneficiary, to be paid at first requirement, up to a maximum guaranteed amount equal to forty percent (40%) of the total value of this contract, or the sum of money lesser to and equivalent to the value of the damage suffered by THE ENTITY as a result of the breach of the obligations assumed by THE CONTRACTOR, before the presentation of the firm administrative act that so declares it. Being the obligation of the issuing banking entity to make the payment within three (3) business days following that in which the duly executed administrative act is delivered, in which the contractor's breach is recorded and the payment of the guarantee is provided. FIRST PARAGRAPH. THE CONTRACTOR will deliver the single guarantee to the Contract Area of THE ENTITY, within five (5) business days following the signing of the contract. SECOND PARAGRAPH. THE CONTRACTOR must restore the value of the guarantee when it has been reduced by reason of the claims made by THE ENTITY. Similarly, in any event in which the value of the contract is increased or added or its term is extended, the contractor must extend the value of the guarantee granted or extend its validity, as the case may be. THIRD PARAGRAPH: Once the execution of the contract has begun, in case of breach of the CONTRACTOR of the obligation to obtain the extension of the guarantee or of the obligation to obtain its renewal or of the obligation to restore its value or of the obligation to grant a new guarantee that covers the fulfillment of the obligations that arise due to the entrance into or execution of the contract, the Contracting Entity may advance the sanctioning administrative procedure that may take place. TENTH. - SUPERVISION: The superior coordination and control of execution of the contract will be in charge of the Presidential Counselor for Communications, who will watch over the interests of the ENTITY and will also have the functions that by the nature of the contract are their own and those established in the Hiring Manual in force. PARAGRAPH: In the event of a change of Supervisor, it will not be necessary to modify the Contract, and the designation will be made by written communication by the Head of the Contract Area, a copy of which must be sent to the CONTRACTOR. ELEVENTH. - FINES: In order to bring the CONTRACTOR to comply with its obligations, the ENTITY will impose daily and successive fines equivalent to one thousandth of the total value of the contract, for each business day of delay or breach, until compliance is verified. These penalties may not exceed 10% of the value of the contract and will be applied without prejudice to the other penalties that may apply.

PARAGRAPH: PROCEDURE FOR THE APPLICATION OF FINES, SANCTIONS AND DECLARATIONS OF NON-COMPLIANCE: For the application of the fines provided for in this clause, the procedure established in article 86 of Law 1474 dated July 12,2011 will be followed. This procedure will also apply previously to the declaration of non-compliance to make effective the penal clause agreed to and the declaration of expiration. TWELFTH. - PENALTY: In case of non-compliance with the obligations acquired or declaration of expiration of the contract, THE CONTRACTOR will pay THE ENTITY by way of penalty, a sum equivalent to ten percent [10%] of the value of the contract, amount that will have as prepayment the damages received by THE ENTITY for the non-compliance without prejudice to enforce the guarantee referred to in the ninth clause of this contract. THIRTEENTH. - RECEIPT OF FINES AND PENALTIES: The value of the penalty and/or the fine will be taken from the balance of the CONTRACTOR, if any exists, or if not, of the constituted guarantee, and if the latter is not possible, It will be done by coercive payment. FOURTEENTH.- SPECIAL REGULATIONS: In addition to the possibility of termination of the contract by mutual agreement of the contracting parties, or by THE ENTITY in the event that it is verified that THE CONTRACTOR has been involved in antecedents that generate a disability such as: in disciplinary matters, dismissal; in criminal cases, when there is an accessory penalty of interdiction of rights and public functions; with prosecutors, when it is included in the bulletin of fiscal responsibility; by express stipulation on the grounds for unilateral termination, interpretation and modification and expiration by THE ENTITY, enshrined in articles 14 to 18 of Law 80 of 1993 are included, as well as submission to national laws. In addition, regarding liquidation, assignment and responsibility of THE CONTRACTOR, the contract is governed by Law 80 of 1993 and Law 115 of 2007, and in matters not regulated by them, by the provisions of Colombian civil legislation, and is subject to the Jurisdiction of Administrative Litigation. FIFTEENTH. - INABILITY OR INCOMPATIBILITY: THE CONTRACTOR states under the gravity of the oath that neither his legal representative nor his partners are involved in matters constituting grounds for disability and incompatibility provided for in the Constitution and the Law, especially those contemplated in laws 80 of 1993,1150 of 2007, 610 of 2000, 789 of 2002,1474 of 2011, 1778 of 2016,1955 of 2019 and other regulations in force on the subject. SIXTEENTH. - INDEMNITY: THE CONTRACTOR undertakes to keep THE ENTITY harmless from any claim coming from third parties that has as a cause the actions of the contractor or those of its subcontractors or dependents. SEVENTEENTH. - EXCLUSION OF LABOR RELATIONSHIP: The contract will be executed by the CONTRACTOR with absolute autonomy and independence and in the development thereof, no labor link will be generated between the ENTITY and the CONTRACTOR. Similarly, the CONTRACTOR'S employees will not have any employment relationship with THE ENTITY, THE CONTRACTOR will be solely responsible for the social benefits, salaries and other benefits required by the Law, such as social and pension security resulting from the employment relationship of the above employees with THE CONTRACTOR. Additionally, with the signing of the contract, THE CONTRACTOR declares to be up-to-date in the payment of the obligations arising from this concept in accordance with the regulations in force in this regard. EIGHTEENTH. MODIFICATIONS. ADDITIONS AND EXTENSIONS: The parties agree that any modification, addition and/or extension to what is agreed in the contract and/or any document that

forms an integral part thereof, only integral to it, may only be made by written agreement by the parties. NINETEENTH.- CONFIDENTIALITY AND RESTRICTED USE OF INFORMATION: THE CONTRACTOR must keep absolute reserve and confidentiality, that in accordance with the current legal system, having the information that is handled in development and execution of the contract, thus: a] THE CONTRACTOR, regarding all the information that he creates, produces, produces, requires, acquires, processes, uses, synthesizes, reproduces, etc., during and on the occasion of the execution of the contract will exclusively use said information for the essential use for the proper execution, being prohibited its disclosure and publication, disclosure, transmission or reproduction to third parties without prior written authorization from the entity, given its confidentiality, b] THE CONTRACTOR undertakes to ensure that its employees, contractors or agents that, for whatever reason, are involved or related to each activity covered by the contract, are jointly and severally bound to the protection established herein, especially by imposing restrictions aimed at: i] Not revealing DAP RE information or the places to which it has access, on the occasion of the execution of the contract, ii] Not allowing third parties to obtain information related to the preceding paragraph, iii] Not acting through third parties or suggesting that third parties do the same on their behalf, iv] Not publishing any information, by electronic means of communication or internal emails of your business group, that could allow third parties or their unauthorized officials to access the information, c] The violation of this obligation of confidentiality will result in the early and unilateral termination of the contract by the injured party, as well as legal actions and compensation for damages that may occur, d] Under the terms of this contract, before the CONTRACTOR publishes or discloses, or makes public or disclosed any paper or other article that incorporates or discloses any information derived directly or indirectly from the execution of the contract or from any specific project, it will send a copy of said paper or article to the entity for comments and respective approval or denial. FIRST PARAGRAPH: The information shared may only be used for the purposes of the contract. All information that is exchanged under this agreement is protected by confidentiality, in accordance with the foregoing considerations. The parties are obliged to guarantee this restriction. THE ENTITY will have the possibility to temporarily or permanently suspend the user accounts or data sources that are created to access the information, if there is evidence of improper use thereof or the breach of this agreement. Violation of confidentiality by the CONTRACTOR or a collaborator of the contractor will authorize THE ENTITY to formulate complaints that may arise. In the event that any of the unauthorized loss, deterioration, destruction, alteration or dissemination of the information is misused, THE ENTITY will initiate administrative, disciplinary and/or criminal actions as appropriate. SECOND PARAGRAPH: All the information kept in the computer equipment (files and emails residing in centralized data servers and/or workstations] is the property of the Administrative Department of the Presidency of the Republic and not of the users; as such, it cannot be eliminated in any case by the end user and may be monitored by the authorized office for that purpose, if required. TWENTIETH. - ADDRESS: For all legal purposes, the contractual address will be the city of Bogota, Capital District. TWENTY-FIRST. - PLACE OF CONTRACTUAL EXECUTION: The execution of the contract will be carried out integrally within the territory of the United States of America, with the contractor domiciled in the city of Washington, District of Columbia, United States of America.

GROUP INC. lo cuai reaiizara las siguientes actividades: Preparacion y gestion de agenda de medios y stakeholders durante las visitas, preparacion de dooumentos, comunicadosyie prensa, mensajes clave y gestion de reuniones con audiencias clave para temas especitlcos. *Sin llmite de eventos durante el mes calendario. 4) Ayudar a la Consejeria en la constmccion del plan de medios, asi como en la preparacion de informacion y gestion de un contenido mensual de interes del Gobierno Nacional de Colombia con !os insumos enviados por la Consejeria para las Comunicacionesja (raves del supervisor del contrato, para lo cual se debera geslionar publicaciones en' medios relevantes para el tema especlfico, entrevistas de voceros, columnas de opinion y publicacioneS'en general sobre los temas solicitados cada mes. 5) Reaiizar y presentar al supervisor del contrato un informe mensual de gestion que incluya un analisis de opinion publics local en reiacion con Colombia, el Gobierno y el Presidents de la Republics sobre te/nas criticos, oportunidades, validadores y la relaciofi de todas las actividades adelantadas en virtud del asesoramierito estrategico y actividades de apoyo completadas de acuerdo a! objeto del contrato. 6) Desarrollar la estrategia propuesta con las siguientes tactioas: i, Actualizar mensajes y temas-clave de conversation, ii. Actualization de hojds informativas. iii. Preparar Talking Points para discursos / intervenciones de' los voceros y/o presentaciones de apoyo'que se requieran para la ejecucion de los planes disenados. iv. Planes de rflacionamiento con medios de comunicaclon. v, Acercamiento a validadores de terceros, llderes de opinion, thinktanks, academicos. vi. Apoyo en eventos especiales. / SEPTIMA.- QBUGAC10NES GENERALES DEL CONTRATISTA: Este se obliga a: 1} Disponer de todo lo necesario para que el objeto del contrato se cumpla a cabalidad, 2) Obrar con lealtad y buena fe en el desarrollo del connate, evitando ditaciones y entrabamientos o acceder a peticiones o amenazas de quienes actuen por fuera de la ley con el fin de obligario a hacer u omitir algun acto o hecbo, informando inmediatamente a LA ENT1DAD y demas autoridades competentes cuando se presenten tales peticiones o amenazas. Siendo obligation de la entidad bancaria emisora efectuar el pago dentro de los tres (3) dias habiles siguientes a ague! en que le sea entregado el acto administrative debidamente ejecutoriado, en ei que conste ei incumptimiento del contraiista y se disponga el cobra de la garantia. PARAGRAFO PRIMERO. EL CONTRATISTA entregara !a garantia unica al Area de Contratos de LA ENTIDAD, dentro de los cinco (5) dias habiles siguientes a la suscripcion del conlrato. PARAGRAFO SEGUNDO, EL CONTRATISTA debera restablecer el valor de la garantia cuando este se haya visto reducido por razon de las reclamaciones efeetuadas por LA ENTIDAD, De igual manera, en cualquier evento en que se aumente o adicione e! valor del contrato o se prorrogue su termino, el contraiista debera ampliar ei valor de la garantia otorgada o ampliar su vigencia, segun el caso.

DECIMA.- SUPERVISION: La coordinaci6ri;"supervisf6n y control de ejecucion del contrato estara a cargo del Consejero Presidency! paralas'Comunicaciones quiefrv'elara por los'intQreses de la ENTIDAD y tendra ademas de las funciones que por la indole y naturaleza del contrato le sean propias y las establecidas eh el Manual de Contraction vigente. PARAGRAFO: En el evento de cambio de Supervisor no sera necesario modificar el Contrato, y la designacion se efectuara mediante comunication escrita por la Jefe del Area de Contratos,’copia de la cua! debera enviarse al CONTRATISTA. DECIMA PRIMERA.* MULTAS: Con el objeto de conminar at CONTRATISTA para que cumpia con sus obiigaciones, la ENTIDAD impondra muttas diarias y sucesivas equivaientes at uno por mil del valor total del contrato, por cada dla habit de retardo o incumplimiento, hasta que se verifique su cumplimiento. Estas sanclones no podran superar el 10% del valor del contrato y se aplicaran sin perjuicio de las demas sanciones a que haya Iugar. • : PARAGRAFO: PROCEDIMIENTO PARA LA APL!CAC|6n DE LAS MULTAS, SANCIONES Y DECLARATORIAS DE INCUMPLIMIENTO: Para la aplicacion de fas muitas previstas en la presente clausula se seguirh el procedimiento estabiecido en e! articulo 86 de la Ley 1474 del 12 de juiio de 2011. Este procedimiento aplicara tambien previamente a la declaratory de Incumplimiento para hacer efectiva la clausula penal pactada y la declaratory de caducidad.
