ALUSTAR ist eine speziell entwickelte, hochfeste, korrosionsbeständige und schweißbare Al Mg-Knetlegierung. Von der Aluminium Association hat Alustar die Bezeichnung AA 5059 erhalten. ALUSTAR is a specially developed, high-strength, corrosion-resistant and weldable Al Mg-Alloy. The Aluminium Association has asigned the high-tech alloy the designation AA 5059.

AMCO produziert die Gussplatten in verschiedenen Dicken und Abmessungen auf modernsten Anlagen. Durch die Homogenisierung der Gussbarren wird eine hervorragende Gefüge-Struktur erreicht. Das Produkt eignet sich daher besonders für Bauteile mit komplexer Zerspanung im Werkzeug-, Formen- und Modellbau. Our cast aluminum plates of alloy EN AW-5083 (AL Mg 4.5 Mn) are characterized by its low stress levels. AMCO manufactures the cast aluminum plates in various thicknesses and dimension on modern machines . By homogenizing the ingots an excellent microstructure can be achieved. Therefore, the product is particularly suitable for parts with complex machining in tool, mold and model.

Für Walzplatten gilt die EN 485-3 in ihrer gültigen Fassung. Hier erfolgt keine Beeinflussung durch den Sägebetrieb.

Abweichung der Ebenheit:

Für ganze Platten sind die Ebenheitstoleranzen in der EN 485-3 festgelegt. Für Zuschnitte ist jedoch keine Regelung vorhanden. Da im Handel diese Toleranzen nicht beeinflusst werden können, erfolgt hiermit eine Festlegung der Ebenheitstoleranzen für Zuschnitte, in Anlehnung an die EN 485-3.

Die Festlegung in der EN 485-3 wird als Prozentsatz der Länge - L - und / oder der Breite - W und / oder der gemessenen Sehne - I - ausgedrückt. Dmax. = Gesamtabweichung in Prozent.

Sondertoleranzen müssen vor Auftragsvergabe vereinbart werden und sind gesondert zu bestätigen.

Abweichung der Breiten und Längen von Zuschnitten:

Für Winkeltoleranzen sind in der DIN / EN ebenfalls keine Festlegungen getroffen. Auch hier werden die Normen DIN 7168-m und DIN ISO 2768-m herangezogen. Die in () gesetzten Maße sind Abweichungen je 100 mm Schenkellänge.

Allgemeine Liefer- und Zahlungsbedingungen 1. Vertragsbedingungen Unsere Angebote sind freibleibend. Abschlüsse und Vereinbarungen werden für den Verkäufer erst durch eine schriftliche Auftragsbestätigung verbindlich. Andere Bedingungen oder Abreden bedürfen unserer besonderen schriftlichen Anerkennung. Abweichende oder ergänzende Allgemeine Vertragsbedingungen des Käufers werden nicht Vertragsbestandteil. Sie werden auch dann nicht anerkannt, wenn der Verkäufer ihnen nicht nochmals nach Eingang bei ihm ausdrücklich widerspricht. Spätestens mit der Entgegennahme der Ware gelten diese Verkaufsbedingungen als angenommen. Diese Bedingungen gelten auch für zukünftige Geschäfte, Vereinbarungen und Abschlüsse. Ware, die in Bauteilen Verwendung findet, welche der Bauproduktenverordnung unterliegen, muss explizit als CE gekennzeichnete Ware, entsprechend der Bauproduktenverordnung und nach DIN 15088 bestellt werden. Für alle Rechtsbeziehungen mit uns gilt das Recht der Bundesrepublik Deutschland. Im Übrigen sind, sofern in diesen Bedingungen keine anderen Regelungen getroffen sind, für die Auslegung der verschiedenen Vertragsklauseln die Incoterms 2010 in der jeweils gültigen Verfassung maßgebend. Es findet Deutsches Recht (BGB-Recht) Anwendung. 2. Preis, Zahlung, Sicherheit Die Preise verstehen sich ab Lager oder ab Werk zuzüglich Fracht und Mehrwertsteuer, sofern nichts anderes vereinbart ist. Alle für unsere Lieferungen und Leistungen im EmpfangsIand anfallenden Steuern und sonstige Abgaben gehen zu Lasten des Bestellers. Zahlung ist netto Kasse innerhalb 30 Tagen zu leisten. Skonto gewähren wir nur nach Vereinbarung und nicht vor Ausgleich unserer übrigen fälligen Forderungen. Zahlungs- und Skontofristen laufen ab Rechnungsdatum. Für die Einhaltung der Fristen ist der Tag des Zahlungseingangs maßgebend. Stellt der Besteller seine Zahlungen ein, liegt eine Überschuldung vor oder wird die Eröffnung eines Vergleichsoder Insolvenzverfahrens beantragt oder kommt der Besteller mit der Einlösung fälliger Wechsel oder Schecks in Verzug oder hält der Besteller die vereinbarten Zahlungsbedingungen nicht ein, so wird die Gesamtforderung des Verkäufers sofort fällig. Dasselbe gilt bei einer wesentlichen Verschlechterung der wirtschaftlichen Verhältnisse des Bestellers. Der Verkäufer ist in diesen Fällen berechtigt, ausreichende Sicherheitsleistung zu verlangen oder vom Vertrag zurückzutreten. Kommt der Besteller mit seiner Zahlungspflicht ganz oder teilweise in Verzug so hat er - unbeschadet aller anderen Rechte des Verkäufers - ab diesem Zeitpunkt Verzugszinsen in Höhe von jährlich 8 Prozentpunkten über dem Basiszinssatz nach § 1 Diskontüberleitungsgesetz zu zahlen. 3. Gefahr, Auslieferung Jede Gefahr geht auch bei Anlieferung mit unserem LKW ebenso bei Anlieferung durch einen Spediteur oder bei Selbstabholung mit dem Verlassen unserer Versandstelle auf den Besteller über. Der Besteller kann Teillieferungen nicht zurückweisen. Bei Versendung durch uns bestimmen wir Spediteur, Frachtführer und Versandweg. Wenn der Versand oder die Zustellung auf Wunsch des Bestellers oder aus von ihm zu vertretenden Gründen verzögert wird, so geht die Gefahr für die Zeit der Verzögerung auf den Besteller über; jedoch ist der Verkäufer verpflichtet, auf Wunsch und Kosten des Bestellers die von ihm verlangten Versicherungen zu bewirken. Ohne besonderes Verlangen des Bestellers wird eine Lieferung nicht gegen Diebstahl, Bruch, Transport und Feuerschäden versichert. Verlangt der Besteller den Abschluss einer Versicherung, wird sie auf Kosten des Bestellers abgeschlossen. Zur Regulierung von Transportschäden ist es erforderlich, dass der Besteller (Empfänger) zur Feststellung des Schadenumfangs unverzüglich gemeinsam mit einem Beauftragten des Transportunternehmens eine Tatbestandsaufnahme veranlasst. Der Besteller hat sich über die jeweiligen Bestimmungen des transportierenden Unternehmens zu erkundigen. 4. Lieferzeit, Lieferbedingungen, Verzug Lieferfristen- und Termine bezeichnen stets nur den ungefähren Zeitpunkt der Lieferung ab Werk oder Lager. Lieferfristen sind nur dann verbindlich, wenn sie vom Verkäufer ausdrücklich als verbindlich bestätigt worden sind. Die Lieferfrist beginnt an dem Tag, an dem die Übereinstimmung über die Bestellung zwischen dem Besteller und dem Verkäufer schriftlich vorliegt. Die Lieferfrist ist eingehalten, wenn die Ware das Werk oder das Lager innerhalb der Frist verlassen hat. Verzögert sich der Versand oder die Abholung aus Gründen, die der Verkäufer nicht zu vertreten hat, so gilt die Frist als eingehalten bei Meldung der Versandbereitschaft innerhalb der vereinbarten Frist. Ist die Nichteinhaltung der Frist nachweislich auf Mobilmachung, Krieg, Aufruhr, Streik, Streik in Drittbetrieben, Aussperrung, Aussperrung in Drittbetrieben, nicht richtiger oder nicht rechtzeitiger Belieferung der Zulieferanten oder den Eintritt unvorhergesehener Hindernisse, die außerhalb des Willens des Verkäufers oder seines Zulieferanten liegen, zurückzuführen, so verlängert sich die Frist angemessen. Entschädigungsansprüche des Bestellers sind in allen Fällen, auch nach Ablauf einer dem Lieferer etwa gesetzten Nachfrist ausgeschlossen. Dies gilt nicht, soweit in Fällen des Vorsatzes oder der groben Fahrlässigkeit zwingend gehaftet wird. Im übrigen bleibt das Recht des Bestellers zum Rücktritt nach fruchtlosem Ablauf einer dem Verkäufer gesetzten angemessenen Nachfrist unberührt. Verursacht der Besteller eine Verzögerung des Versandes oder der Zustellung der Liefergegenstände, ist der Verkäufer berechtigt, die dadurch entstehenden Mehrkosten dem Besteller zu berechnen. Der Besteller kann nur dann Ansprüche aus Verzug geltend machen, wenn er nicht selbst mit einer Verpflichtung aus der Geschäftsverbindung in Verzug ist. 5. Gewicht, Stückzahl, Maße, Abweichungen Eine Abweichung in Gewicht, Stückzahl oder Spezifikation der gelieferten Ware von unseren Angaben in Lieferschein und Rechnung ist vom Besteller nachzuweisen. Je nach Art der Ware sind uns Mehr- oder Minderlieferungen auf die vereinbarten Gewichte oder die Stückzahl bis zu 10 % gestattet. Für die vorgeschriebenen Maße gelten die EN und DIN Normen, ansonsten die handelsüblichen zulässigen Abweichungen. 6. Fracht, Verpackung Bei Versendung durch uns werden in der Regel anteilige Frachtkosten berechnet. Verpackungskosten werden grundsätzlich nach Aufwand berechnet. 7. Mindestauftragswert Der Mindestauftragswert beträgt 150,– €. 8. Eigentumsvorbehalt Die Waren bleiben Eigentum des Lieferers bis zur Erfüllung sämtlicher ihm gegen den Besteller zustehender Ansprüche (Vorbehaltsware), auch wenn die einzelne Ware bezahlt worden ist. Eine Verpfändung oder Sicherungsübereignung der Vorbehaltsware ist nicht zulässig. Der Besteller tritt für den Fall der - im Rahmen des ordnungsmäßigen Geschäftsbetriebes zulässigen - Weiterveräußerung oder Vermietung der Vorbehaltsware dem Verkäufer schon jetzt bis zur Tilgung sämtlicher Forderungen des Verkäufers die ihm aus Weiterverkauf oder Vermietung entstehenden künftigen Forderungen gegen seine Kunden sicherheitshalber ab, ohne dass es noch später besonderer Erklärung bedarf. Die Abtretung erstreckt sich auch auf Saldoforderungen, die sich im Rahmen bestehender Kontokorrentverhältnisse oder bei Beendigung derartiger Verhältnisse des Bestellers mit seinen Kunden ergeben. Wird die Vorbehaltsware zusammen mit anderen Gegenständen weiterveräußert oder vermietet, ohne dass für die Vorbehaltsware ein Einzelpreis vereinbart wurde, so tritt der Besteller dem Verkäufer mit Vorrang vor der übrigen Forderung denjenigen Teil der Gesamtpreisforderung bzw. des Gesamtmietzinses ab, der dem vom Verkäufer in Rechnung gestellten Wert der Vorbehaltsware entspricht. Bis auf Widerruf ist der Besteller zur Einziehung der abgetretenen Forderungen aus der Weiterveräußerung oder Vermietung befugt, er ist jedoch nicht berechtigt, über sie in anderer Weise, z. B. durch Abtretung zu verfügen. Auf Verlangen des Verkäufers hat der Besteller die Abtretung dem Kunden bekannt zu geben und dem Verkäufer die zur Geltendmachung seiner Rechte gegen den Kunden erforderlichen Unterlagen, z. B. Rechnungen auszuhändigen und die erforderlichen Auskünfte zu erteilen. Alle Kosten der Einziehung und etwaiger Interventionen trägt der Besteller. Erhält der Besteller aufgrund der ihm erteilten Ermächtigung zur Einziehung der abgetretenen Forderungen aus der Weiterveräußerung Wechsel, so geht das Eigentum an diesen Papieren mit dem verbrieften Recht sicherungshalber auf den Verkäufer über. Die Übergabe der Wechsel wird durch die Vereinbarung ersetzt, dass der Besteller sie für den Verkäufer in Verwahrung nimmt und sie sodann unverzüglich und indossiert an den Verkäufer abliefert. Für den Fall, dass der Gegenwert der an den Lieferer abgetretenen Forderungen in Schecks bei dem Besteller oder bei einem Geldinstitut des Bestellers eingehen sollte, ist dieser zur unverzüglichen Meldung der Eingänge und zur Abführung verpflichtet. Das Eigentum an den Schecks geht mit dem verbrieften Recht auf den Verkäufer über, sobald sie der Besteller erhält. Die Übergabe der Papiere wird durch die Vereinbarung ersetzt, dass der Besteller sie für den Verkäufer in bar in Verwahrung nimmt, um

sie sodann unverzüglich und indossiert an den Verkäufer abzuliefern. Verarbeitet der Besteller die Vorbehaltsware, bildet er sie um oder verbindet er sie mit anderen Gegenständen, so erfolgt die Verarbeitung, Umbildung oder Vermischung für den Verkäufer. Dieser wird unmittelbar Eigentümer der durch die Verarbeitung, Umbildung oder Verbindung hergestellten Sache. Sollte dies aus rechtlichen Gründen nicht möglich sein, so sind sich der Verkäufer und der Besteller darüber einig, dass der Verkäufer in jedem Zeitpunkt der Verarbeitung, Umbildung oder Verbindung Eigentümer der neuen Sache wird. Der Besteller verwahrt die neue Sache für den Lieferer mit der Sorgfalt eines ordentlichen Kaufmannes. Die durch Verarbeitung, Umbildung oder Verbindung entstandene Sache gilt als Vorbehaltsware. Bei Verarbeitung, Umbildung oder Verbindung mit anderen, nicht dem Verkäufer gehörenden Gegenständen, steht dem Verkäufer Miteigentum an der neuen Sache in Höhe des Anteils zu, der sich aus dem Verhältnis des Wertes der verarbeiteten, umgebildeten oder verbundenen Vorbehaltsware zum Wert der neuen Sache ergibt. Für den Fall der Veräußerung oder Vermietung der neuen Sache tritt der Besteller hiermit dem Verkäufer seinen Anspruch aus der Veräußerung oder Vermietung gegen seinen Kunden mit allen Nebenrechten sicherungshalber ab, ohne dass es noch späterer besonderer Erklärung bedarf. Die Abtretung gilt jedoch nur in Höhe des Betrages, der dem vom Verkäufer in Rechnung gestellten Wert der verarbeiteten, umgebildeten oder verbundenen Vorbehaltsware entspricht. Der dem Verkäufer abgetretene Forderungsanteil hat den Vorrang vor der übrigen Forderung. Kommt der Besteller mit seiner Zahlungsfrist oder der Einlösung fälliger Wechsel oder Schecks ganz oder teilweise in Verzug, liegt eine Überschuldung oder Zahlungseinschränkung vor oder ist Vergleichs- oder Insolvenzantrag gestellt, so ist der Verkäufer berechtigt, sämtliche noch unter Eigentumsvorbehalt stehende Waren sofort an sich zu nehmen, ebenso kann er die weiteren Rechte aus dem Eigentumsvorbehalt sofort geltend machen, dasselbe gilt bei einer sonstigen wesentlichen Verschlechterung der wirtschaftlichen Verhältnisse des Bestellers. Der Besteller gewährt dem Verkäufer oder dessen Beauftragten während der Geschäftsstunden Zutritt zu seinen sämtlichen Geschäftsräumen. Das Verlangen der Herausgabe oder Inbesitznahme stellt keinen Rücktritt vom Vertrag dar. Der Verkäufer ist berechtigt, die Vorbehaltsware mit der Sorgfalt eines ordentlichen Kaufmannes zu verwerten und sich unter Anrechnung auf die offenen Ansprüche aus deren Erlös zu befriedigen. Übersteigt der Wert der Sicherung die Ansprüche des Verkäufers gegen den Besteller aus der laufenden Geschäftsverbindung insgesamt um mehr als 20 %, so ist der Verkäufer auf Verlangen des Bestellers verpflichtet ihm zustehende Sicherungen nach seiner Wahl freizugeben. 9. Gewährleistung Sachmängel, Falschlieferungen und Fehlmengen sind, soweit diese durch zumutbare Untersuchungen feststellbar sind, unverzüglich, spätestens jedoch 2 Wochen nach Erhalt der Ware anzuzeigen. Zeigt sich später ein bei der ersten Untersuchung nicht erkennbarer Mangel, so ist er unverzüglich, spätestens jedoch 2 Wochen nach der Entdeckung schriftlich anzuzeigen. Unterlässt der Besteller die rechtzeitige Anzeige, so gilt die Ware in als genehmigt. Das Gleiche gilt, wenn uns der Besteller nicht unverzüglich nach unserem Verlangen eine sachgerechte Prüfung des Mangels ermöglicht. Ist die Ware bei Übergabe an den Käufer mangelhaft, kann der Käufer nach seiner Wahl als Nacherfüllung die Beseitigung des Mangels oder die Lieferung einer mangelfreien Sache verlangen. Wir sind berechtigt, die vom Käufer gewählte Art der Nacherfüllung abzulehnen, wenn diese nur mit unverhältnismäßigen Kosten möglich ist. Der Käufer ist dann auf die jeweils andere Ausprägung des Nacherfüllungsanspruchs beschränkt. Auch diesem Anspruch kann der Verkäufer die Einrede unverhältnismäßig hoher Kosten entgegenhalten mit der Folge, dass dann der Nacherfüllungsanspruch insgesamt entfällt. Schlägt die Nachbesserung oder Ersatzlieferung fehl, kann der Käufer nach seiner Wahl Herabsetzung oder Vergütung oder Rückgängigmachung des Vertrages verlangen. Zur Mängelbeseitigung hat der Besteller dem Verkäufer die nach billigem Ermessen erforderliche Zeit und Gelegenheit zu gewähren. Verweigert er diese, ist der Verkäufer von der Mängelbeseitigung befreit Die Mängelhaftung bezieht sich nicht auf natürliche Abnutzung, ferner nicht auf Schäden, die nach Gefahrenübergang infolge fehlerhafter oder nachlässiger Behandlung, übermäßiger Beanspruchung oder solcher thermischer, chemischer, elektrochemischer oder elektrischer Einflüsse entstehen, die nach dem Vertrag nicht vorausgesetzt sind. Die Gewährleistungspflicht erlischt, wenn der Liefergegenstand durch unsachgemäße Behandlung oder Lagerung gelitten hat oder wenn an ihm Änderungen oder Reparaturen ohne schriftliche Zustimmung des Verkäufers vorgenommen worden sind und die Änderung oder Reparaturen zu dem Mangel geführt haben. Die in Erfüllung dieser Gewährleistungsverpflichtungen ersetzten Teile gehen mit dem Ausbau an das Eigentum des Verkäufers über. Weitere Ansprüche des Bestellers gegen den Verkäufer und dessen Erfüllungsgehilfen sind ausgeschlossen, insbesondere ein Anspruch auf Ersatz von Schäden, die nicht an der Ware selbst entstanden sind. Dies gilt nicht, soweit in Fällen des Vorsatzes, der groben Fahrlässigkeit oder des Fehlens zugesicherter Eigenschaften zwingend gehaftet wird. Die Gewährleistungsrechte des Käufers richten sich im Übrigen nach den gesetzlichen Bestimmungen. Die gesetzliche Gewährleistungsfrist beträgt 1 Jahr und beginnt mit der Ablieferung der Ware. 10. Warenrücknahme Rücknahme gelieferter aber nicht mit Mängeln behafteter Ware erfolgt nur nach vorheriger Zustimmung des Verkäufers. Der Verkäufer behält sich vor, für dadurch entstehende Kosten und Minderung einen Abschlag von mindestens 15 % des zu erstattenden Betrages vorzunehmen. Fixmaterial, Zuschnitte und Sonderanfertigungen können weder zurückgenommen noch umgetauscht werden. 11. Allgemeine Haftungsbegrenzung Soweit nicht zwingende gesetzliche Bestimmungen entgegenstehen, anerkennen wir Schadenersatzansprüche jeglicher Art nur im Falle eigenen Vorsatzes oder grober Fahrlässigkeit und nur im Umfang der Deckung und Leistung durch unsere Haftpflichtversicherung. Soweit verbleibende Schadenersatzansprüche von dieser Versicherung nicht gedeckt sind - wie z.B. aus Verzug und Unmöglichkeit, ist unsere Haftung auf einen dem Preis unserer betroffenen Lieferung oder Leistung entsprechenden Betrag beschränkt. 12. Datenschutz Die AMCO Metall-Service GmbH weist darauf hin, dass soweit personenbezogene Daten zur Verfügung gestellt werden, diese nur zur Beantwortung von Anfragen, Bestellungen, Lieferungen und für die technische Administration bearbeitet werden. Die personenbezogenen Daten werden an Dritte nur weitergegeben oder sonst übermittelt, wenn dies zum Zwecke der Vertragsabwicklung – insbesondere Weitergabe von Bestelldaten an Lieferanten oder Spediteure – erforderlich ist. Die Firma AMCO Metall-Service GmbH ist berechtigt, Ihre Daten durch eine Schutzgemeinschaft für Warenkreditgeber, wie z.B. Creditreform, überprüfen zu lassen. Die Daten werden ausschließlich von Mitarbeitern und autorisierten Handelspartnern der Firma AMCO MetallService GmbH oder ihrer Tochtergesellschaften genutzt. Wir weisen darauf hin, dass die Datenübertragung im Internet (z.B. bei der Kommunikation per E-Mail) Sicherheitslücken aufweisen kann. Ein lückenloser Schutz der Daten vor dem Zugriff durch Dritte ist nicht möglich. Die Verarbeitung und Speicherung der Daten erfolgt entsprechend der deutschen Datenschutzbestimmungen. 13. Exportkontrolle Der Kunde wird insbesondere sicherstellen, dass von uns gelieferte Ware nicht für rüstungs-relevante, kerntechnische oder waffentechnische Verwendung (einschließlich Trägertechnologie) bestimmt ist, sofern für eine Lieferung zu einem dieser Verwendungszwecke eine wirksame Ausfuhrgenehmigung der zuständigen Exportkontrollbehörden nicht erteilt worden ist. Die Vertragserfüllung durch uns steht unter dem Vorbehalt, dass der Erfüllung keine Beschränkungen bzw. Verbote aufgrund von nationalen, supranationalen oder internationalen Vorschriften des Außenwirtschaftsrechts sowie keine Embargos oder sonstige Sanktionen entgegenstehen. 14. Gültigkeit und Beginn Diese Verkaufs- und Lieferbedingungen treten mit sofortiger Wirkung in Kraft und ersetzen alle vorangegangenen Verkaufs- und Lieferbedingungen bzw. Allgemeinen Geschäftsbedingungen. 15. Erfüllung, Gerichtstand Ist der Käufer Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, so ist ausschließlicher Erfüllungsort und ausschließlicher Gerichtstand für alle Streitigkeiten aus diesem Vertrag Bremen. Dasselbe gilt, wenn der Käufer keinen allgemeinen Gerichtsstand in Deutschland hat. Stand: September 2014 Sonderhinweis: Verpackungsverordnung ab 01.12.1991 Wir nehmen unsere Transportverpackung zurück, sofern sie uns frachtfrei zurückgeliefert wird. Baugruppenverordnung ab 1.7.2013 Entsprechend der Baugruppenverordnung stellen wir Ihnen entsprechende Aluminiumhalbzeuge mit Leistungserklärung und CE-Kennzeichnung zur Verfügung. Voraussetzung hierfür ist, dass der Besteller explizit CE-gekennzeichnetes Material entsprechend der Baugruppenverordnung und DIN 15088 bestellt hat.

General Terms and Conditions of Payment and Delivery 1. Terms and Conditions of Contract Our offers are subject to change. Transactions and agreements shall only become binding for the Seller through a written order confirmation. Other conditions or agreements require our special written acknowledgement. Any differing or supplementary general terms and conditions of contract of the Buyer shall not become part of the Contract. They shall then also not be recognised if the Seller does not expressly object to them again after receipt. These Terms and Conditions of Contract shall be deemed to have been accepted at the latest upon acceptance of the goods. These conditions shall also apply to future transactions, agreements and deals. Goods, which are liable to the Construction Products Regulation, must be ordered as explicitly marked CE goods, according to the Construction Products Regulation DIN 15088. The law of the Federal Republic of Germany shall apply to all legal relations with us. Furthermore, if no other provisions have been agreed in these Terms and Conditions, the effective version of Incoterms 2010 shall apply to the interpretation of the various contractual clauses. German law (the law of the German Civil Code) shall apply.

2. Price, Payment, Security The prices are ex warehouse or ex works plus carriage and value added tax unless otherwise agreed. All taxes and other charges incurred in the recipient country for our deliveries and performances shall be borne by the Buyer. Payment shall be effected net cash within 30 days. We only grant discount by agreement and not before our other due claims have been settled. Periods allowed for payment and discount periods shall run from the invoice date. Compliance with the time periods shall be determined by the date on which payment is received. If the Buyer ceases its payments, overindebtedness exists or an application has been made to institute composition or insolvency proceedings or the Buyer defaults on cashing or honouring a due bill or cheque or the Buyer does not comply with the agreed terms of payment, the total claim of the Seller shall become due immediately. The same shall apply if there is a significant deterioration in the Buyer’s financial circumstances. In these cases, the Seller shall be entitled to demand the furnishing of sufficient security or withdraw from the Contract. If the Buyer defaults on its payment obligation in whole or in part, it shall – irrespective of any other rights of the Seller – pay interest on arrears from this point in time to a sum of 8 percentage points per annum above the base rate according to § 1 of the German Discount Transfer Law (Diskontüberleitungsgesetz). 3. Risk, Delivery Any risk shall pass to the Buyer when the goods leave our dispatch office even if they are delivered with our lorry or delivered carriage by a haulage contractor or the Buyer collects them itself. The Buyer may not refuse part deliveries. For dispatch we decide the haulage contractor, carrier and transport route. If dispatch or delivery is delayed at the request of the Buyer or for reasons for which the Buyer is to blame, the risk shall pass to the Buyer for the period of the delay; however, the Seller shall be obliged to take out the insurance demanded by the Buyer at the Buyer’s request and expense. A delivery shall not be insured against theft, breakage, transport or fire damage unless the Buyer has specially requested it. If the Buyer requests that insurance be taken out, it shall be taken out at the expense of the Buyer. To settle transport damage, it is necessary that the Buyer (recipient) jointly arranges for an official report to be prepared without delay with a representative from the transport company in order to determine the scale of the damage. The Buyer shall inquire about the respective terms of the transporting company.

4. Delivery period, Terms of delivery, Default Delivery periods and dates always only refer to the approximate time of delivery ex works or ex warehouse. Delivery periods are only binding if they have been expressed confirmed as binding by the Seller. The delivery period shall commence on the day on which agreement has been reached in writing between the Buyer and the Seller with regard to the order. The delivery period shall be deemed to have been complied with if the goods have left the factory or the warehouse within the time period. If dispatch or collection is delayed for reasons for which the Seller is not to blame, the deadline shall be deemed to have been complied with if readiness for dispatch is notified within the agreed period. If non-compliance with the deadline can provenly be attributed to mobilisation, war, revolution, strikes, strikes in third-party companies, lockouts, lockouts in third-party companies, incorrect or unpunctual delivery by subcontractors or the occurrence of unforeseen hindrances which are outside the control of the Seller or its subcontractors, the deadline shall be extended appropriately. Compensation claims by the Buyer shall be excluded in all cases, even after the expiry of any final deadline set for the Supplier. This does not apply if liability is mandatory in cases of intent or gross negligence. Furthermore, the right of the Buyer to withdraw after the fruitless expiry of a reasonable extension granted to the Seller shall not be affected. If the Buyer causes a delay in the dispatch or delivery of the delivery items, the Seller shall be entitled to charge the resultant additional costs to the Buyer. The Buyer may only then assert claims due to default if it does not itself default on an obligation arising from the business connection. 5. Weight, Number of Items, Dimensions, Deviations A deviation in the weight, number of items or specification of the delivered goods from our data in the delivery note and invoice must be proven by the Buyer. Depending on the type of goods, we are allowed to carry out deliveries which exceed or fall short of the agreed weights or number of items by up to 10%. The DIN and EN standards or otherwise the admissible deviations which are customary in the trade shall apply to the above-mentioned dimensions. 6. Freight, Packaging When the dispatch is sent by us there are generally proportional freight costs charged. Packing costs will be invoiced according to time spent. 7. Minimum order value The minimum order value is € 150.00.

8. Retention of title The goods shall remain the property of the Supplier until all the claims to which the Supplier is entitled vis-à-vis the Buyer have been settled (reserved goods) even if individual goods have been paid for. The pledging or assignment of the reserved goods as security is not admissible. In the event of the resale or leasing – admissible within the scope of ordinary business dealings – of the reserved goods to the Seller, the Buyer shall hereby already assign by way of security the future claims accruing to it vis-à-vis its customers from resale or leasing until all the claims of the Seller have been settled without any special declaration being required at a later date. The assignment shall also extend to balance claims arising within the scope of existing current account relations or in the event of the termination of such relations of the Buyer with its customers. If the reserved goods are resold or leased together with other items without an individual price having been agreed for the reserved goods, the Buyer shall, with priority over the other claim, assign that portion of the total price claim and/or the total rent to the Seller that corresponds to the price of the reserved goods invoiced by the Seller. Until revocation, the Buyer shall be authorised to collect the assigned claims arising from the resale or leasing; however, it is not entitled to otherwise dispose of them, e.g. through assignment. At the request of the Seller, the Buyer shall notify the customer of the assignment and hand over to the Seller the documents required to assert its rights vis-à-vis customers, e.g. invoices, and supply the necessary information. All costs for collection and any interventions shall be borne by the Buyer. If the Buyer receives bills on the basis of the authorisation granted to it to collect the assigned claims arising from the resale, ownership of these documents with the vested title shall be transferred to the Seller by way of security. The transfer of bills shall be replaced by an agreement that the Buyer will take them into safekeeping for the Seller and then surrender them to the Seller endorsed without delay. Should the counter value of the claims assigned to the Supplier be received by the Buyer or a bank of the Buyer in cheques, the Buyer shall be obliged to report the receipts and transfer them. Ownership of the cheques shall pass to the Seller with the vested title as soon as the Buyer receives them. The transfer of bills shall be replaced by an agreement that the Buyer will take them into safekeeping for the Seller in cash in order to then surrender them to the Seller endorsed without delay. If the Buyer processes the reserved goods, transforms them or combines them with other items, the processing, transformation or blending shall be carried out for the Seller. The Seller shall immediately become the owner of the item produced through processing, transformation or combination. Should this not be possible for legal reasons, the Seller and the Buyer are agreed that the Seller shall become the owner of the new item at any time of processing, transformation or combination. The Buyer shall hold the resultant new item in safe custody for the Supplier with the diligence of a prudent businessman. The item created through processing, transformation or combination shall be deemed reserved goods. When processed, transformed or combined with other items

that do not belong to the Seller, the Seller shall be entitled to joint title to the new item in the amount of the share arising from the ratio of the value of the processed, transformed or combined reserved goods compared to the value of the new item. Should the new item be sold or leased, the Buyer shall hereby assign its claim arising from the sale or leasing vis-à-vis its client with all accessory rights to the Seller by way of security without a subsequent special declaration being required. However, the assignment shall only apply up to the sum of the amount which corresponds to the value of the processed, transformed or combined reserved goods invoiced by the Seller. The portion of the claim assigned to the Seller shall take priority over the other claim. If the Buyer defaults on its payment deadline or on cashing in or honouring due bills or cheques in whole or in part, overindebtedness or payment restrictions apply or an application has been made for the institution of composition or insolvency proceedings, the Seller shall be entitled to take all the goods still subject to the retention of title for itself immediately and it may assert any other rights arising from the retention of title immediately; the same applies to any other significant deterioration in the financial circumstances of the Buyer. The Buyer shall grant the Seller or its representative’s access to all its business premises during office hours. The demand for surrender or taking possession does not constitute withdrawal from the Contract. The Seller shall be entitled to utilise the reserved goods with the diligence of a prudent businessman and use the proceeds to settle claims whilst offsetting against any outstanding claims. If the value of the security exceeds the claims of the Seller vis-à-vis the Buyer arising from the current business connection by more than 20% in total, the Seller shall be obliged at the request of the Buyer to release the security that it holds at its discretion. 9. Warranty Defects, incorrect deliveries and shortfalls must, if they can be identified by means of reasonable inspections, be reported without delay, but at the latest 2 weeks after receipt of the goods. If a defect becomes apparent at a later date that was not visible during the first inspection, it must be reported in writing without delay, but at the latest 2 weeks after its discovery. If the Buyer fails to report the defect on time, the goods shall be deemed approved taking into account the defect. The same applies if the Buyer does not allow us to carry out a proper inspection of the defect at our request without delay. If the item is defective upon surrender to the Buyer, the Buyer may at its discretion demand the rectification of the defect or the delivery of a non-defective item as subsequent performance. We shall be entitled to refuse the type of subsequent performance chosen by the Buyer if this is only possible with disproportionate costs. The Buyer shall then be restricted to another form of the right to subsequent performance. The Seller may also object to this right by using the plea of disproportionately high costs, with the result that the right to subsequent performance then ceases to apply altogether. If efforts to rectify the defect or supply a replacement fail, the Buyer may at its discretion demand a reduction of the fee or cancellation of the Contract. The Buyer shall grant the Seller the necessary time and opportunity to rectify the defect at its reasonable discretion. If the Buyer refuses to do this, the Seller shall be released from rectifying the defect. Liability for defects does not refer to natural wear and tear or to damage resulting after the transfer of risk from incorrect or negligent handling, overstressing or such thermal, chemical, electrochemical or electrical influences that are not a premise of this Contract. The warranty shall expire if the delivery item has suffered due to improper handling or storage or if modifications or repairs have been made to it without the written consent of the Seller and the modifications or repairs have led to the defect. The parts replaced when meeting these warranty obligations shall become the property of the Seller when they are removed. Other claims of the Buyer vis-à-vis the Seller and its vicarious agents are excluded, especially claims to the reimbursement of damage not suffered by the delivery item itself. This does not apply if liability is mandatory in cases of intent, gross negligence or the omission of guaranteed features. Moreover, the warranty rights of the Buyer shall conform to the statutory provisions. The statutory warranty period is 1 year and starts upon delivery of the goods. 10. Repurchase of goods The repurchase of goods which have been delivered but are not defective shall only take place with the prior consent of the Seller. The Seller shall reserve the right to deduct at least 15% of the refundable amount for any administrative costs incurred thereby. Fix material, blanks and customized features can not be returned or exchanged. 11. General liability restriction Unless mandatory statutory provisions preclude it, we recognise claims for damages of any type only in the event of our own intent or gross negligence and only to the extent of the cover and indemnification through our third-party liability insurance. If residual claims for damages are not covered by this insurance – such as arising from default and impossibility – our liability shall be restricted to an amount that corresponds to the price of our affected delivery or performance. 12. Privacy Policy The AMCO Metall-Service GmbH points out that insofar as data are made available, they will be processed only to respond to inquiries, orders, shipments, and for technical administration. The personal data to third parties or otherwise transferred only if it serves the purpose of the contract - is needed - especially the transmission of orders to suppliers or shippers. The company AMCO Metall- Service GmbH is entitled to review your data by General Credit Protection Agency, such as Creditreform. The data will be used exclusively by employees and authorized dealers of the company AMCO Metall-Service GmbH or its affiliates. We point out that data transmission over the Internet (eg communication by e-mail) can have security gaps. A complete protection of data against access by third parties is not possible. The processing and storage of data complies to the German data protection laws. 13. Export Control The customer will ensure in particular that is not one of us delivered goods destined for armaments-related, nuclear technology or weapons (including the Missile Technology), provided for a delivery to any of these uses an effective export permit from the competent export control authorities has not been granted. The contract with us is subject to compliance there are no restrictions or prohibitions on the basis of national, supranational or international foreign trade and customs requirements or any embargos or other sanctions. 14. Validity and commencement These terms and conditions will be effective immediately in effect and supersede all previous terms and conditions or terms and conditions. 15. Performance, Place of jurisdiction If the Buyer is a merchant, legal entity under public law or special fund under public law, the exclusive place of performance and exclusive place of jurisdiction for all disputes arising from this Contract is Bremen. The same applies if the Buyer does not have a general place of jurisdiction in Germany.
