MEETUP AT WEWORK TERMS & CONDITIONS  License:    You acknowledge and agree that WeWork grants you, the Organizer, a revocable license (the “License”) for use  of the Location during the Period listed above on behalf of your Meetup Group. The Location shall be used  exclusively for the Event described on the cover page or event form. At no time shall the Event have in  attendance more than the number of persons set forth on the request form. The Event shall require all guests to  sign in at least twenty-four (24) hours prior to the Event, Organizer shall provide a list of invitees permitted in the  Event. Solely individuals listed on such list shall be permitted into the Event. For the purposes of this license,  Organizer and all Organizer’s attendees will be considered invitees (“Invitees”) of WeWork members or  employees during the Event.     We reserve the right in our sole discretion for any reason to either cancel your Event or decline your application  to host your event. We make no claims, promises, or guarantees about the accuracy, completeness, or  adequacy of any content, claims or statements made during an Event. Our hosting an Event does not constitute  endorsement, recommendation, or support for the content in any Event or any individuals associated with such  Event by WeWork.    Use:     a. Organizer, at its own expense, shall comply with all applicable laws, rules, orders, ordinances, regulations and  other requirements, present or future, affecting the Location and/or the building (the “Building”) that relate to  Organizer’s use or manner of use. Organizer shall not, at any time, use or occupy the Location so as to violate  the Certificate of Occupancy for the Building.    b. Organizer acknowledges that the Location is in a place of work. The Event shall not, in the reasonable  discretion of WeWork, disturb the members of WeWork (“Member”) in the Building or any of WeWork’s  neighbors. Organizer must keep all fire stairs free and clear.    c. Organizer has inspected the Location and agrees to take the same “AS-IS.”    d. Organizer agrees that there will be no smoking in the Location during the Event.    e. WeWork’s cleaning service and garbage carting company will provide all heavy cleanup and basic,  non-production garbage removal. During the Period, Organizer is responsible for leaving the Location in the  same condition it was before the Event. If the cleaning and/or garbage removal exceed a reasonable  broom-clean standard or large pieces of production refuse are left in the Location, Organizer is subject to pay  for additional cleaning and carting services as necessary.    f. One or more members of WeWork’s team may be present in the Location for any part or the whole of the  Event.    g. Organizer shall, throughout the Period, take good care of the Location and Building and the fixtures and  appurtenances therein. Organizer shall be solely responsible for returning the Building and Location to its  original state, normal wear and tear excluded, during the Period.    h. Under no circumstances shall Organizer alter, modify, improve or otherwise change the structure of the  Building or Location or any portion, in any manner. 

  i. Organizer shall not allow cannabis or any illicit or federally banned substances on the premises of the  Location, the Building and the surrounding areas.     j. Organizer shall pay for all repairs, whether structural or non-structural, ordinary or extraordinary, and of any  other nature or kind whatsoever if, during the Period, Organizer and/or any of its agents, employees or such  other invitees in the Building shall cause any damage or change to the Building or Location, normal wear and  tear excepted. In such event, WeWork shall have the option, upon prior notice to Organizer, to use its own  contractors to repair the Building and Location. The fees for such contractors and overage fees, as per the  Agreement, are the sole responsibility of Organizer. The remedies set forth in this subsection shall be in addition  to any other remedies set forth in this Agreement or at law or equity.    k. Organizer shall not cancel the Event without giving prior written notice at least 24 hours in advance (“Advance  Notice”). Organizer will not be allowed to host any more Events at WeWork if they fail more than once to give  Advance Notice.      Additional Rules:  In addition to any rules, policies and/or procedures that are specific to the Location used by you and your  Invitees:    1. You and your Invitees acknowledge and agree that:   ● if you are given keys, key cards and/or any other such items (“Keys”) used to gain physical access to the  Location, any and all such Keys remain our property. You will cause your Invitees to safeguard our  property and you will be liable for replacement fees should any such property be lost, stolen or  destroyed;   ● you shall promptly notify us of any change to your contact information;  ● we will provide notice to you of any changes to services, or updates by emailing the email addresses  provided by you. It is your responsibility to read such emails and to ensure your Invitees are aware of any  changes, even if we notify such Invitees directly;  ● carts, dollies and other freight items which may be made available may not be used in the passenger  elevator except at our discretion;   ● all of your Invitees are at least 18 years of age;  ● you shall be solely and fully responsible for ensuring that no alcohol is consumed by any of your Invitees  or guests who are younger than the legal age for consuming alcohol in the applicable jurisdiction;  ● you will not bring alcohol to or serve any alcohol at the Location unless you follow the terms in the  section titled “Beverage Service” below;  ● if the beer or wine taps are open, you will not be allowed to charge a cover or any other fee for the  Event;  ● common spaces are to be enjoyed by all our Member Companies, members and guests unless  otherwise instructed by us, and are for temporary use and not as a place for continuous, everyday work;   ● you will provide us with reasonable notice of and complete all required paperwork prior to hosting any  event at the Location;  ● you will be responsible for any damage to your Office Space exceeding normal wear and tear;  ● you may not make any structural or nonstructural alterations or installations of wall attachments, furniture  or antennae in the Location without prior written approval by us. If any alterations or installations are  made, you shall be responsible for the full cost and expense of the alteration or installation and, prior to  the termination of this Agreement, the removal of such items and the restoration necessitated by any  such alterations. To the extent that we incur any costs in connection with such alteration, installation or 







removal which are not otherwise paid by you we will be responsible for such costs. In no event are you  permitted to perform any of these actions. ​Only a member of our facilities staff is entitled to perform an  alteration, installation, removal or restoration. Reach out to a member of the local community team  for more information​;   you and your Invitees’ computers, tablets, mobile devices and other electronic equipment must be (i)  kept up-to-date with the latest software updates provided by the software vendor and (ii) kept clean of  any malware, viruses, spyware, worms, Trojans, or anything that is designed to perform malicious, hostile  and/or intrusive operations. We reserve the right to remove any device from our networks that poses a  threat to our networks or users until the threat is remediated;   you consent to our non-exclusive, non-transferable use of your Meetup Group and/or logo in connection  with identifying you as a Meetup Group of WeWork, alongside those of other Meetup Group, on a  public-facing “Membership” display on wework.com, as well as in video and other marketing materials.  You warrant that your logo does not infringe upon the rights of any third party and that you have full  authority to provide this consent. You may terminate this consent at any time upon thirty (30) days’ prior  notice; and   if you or any of your Invitees are a WeWork member, you will be subject to the terms of your membership  agreement.   

  1. Neither Organizer nor Invitee may:  perform any activity or cause or permit anything that is reasonably likely to be disruptive or dangerous to  us or any other Member Companies, or our or their employees, guests or property, anywhere in or by the  Location;  ● use any WeWork service or the Location to conduct or pursue any illegal or offensive activities or  comport themselves to the community in a similar manner;  ● misrepresent himself or herself to the WeWork community, either in person or on the WeWork Member  Network;  ● take, copy or use any information or intellectual property belonging to other Member Companies or their  Members, guests or any other Invitee, including without limitation any confidential or proprietary  information, personal names, likenesses, voices, business names, trademarks, service marks, logos,  trade dress, other identifiers or other intellectual property, or modified or altered versions of the same,  and this provision will survive termination of this Agreement;  ● take, copy or use for any purpose the name “WeWork” or any of our other business names, trademarks,  service marks, logos, trade dress, other identifiers or other intellectual property or modified or altered  versions of the same, or take, copy or use for any purpose any pictures or illustrations of any portion of  the Location, without our prior consent, and this provision will survive termination of this Agreement;  ● use the Location in a “retail,” “medical,” or other nature involving frequent visits by members of the  public;  ● use our mail and deliveries services for fraudulent or unlawful purposes, and we shall not be liable for  any such use;  ● install any locks anywhere within the Location, unless authorized by us in advance;  ● allow any guest(s) to enter the building without registering such guest(s) and performing any additional  required steps according to our policies; or  ● bring any weapons of any kind, or any other offensive, dangerous, inflammable or explosive materials  into the Location.  You are responsible for ensuring your Invitees comply with these Additional Rules as well as any rules specific to  the Location.    Beverage Service:  ●

YOU MAY NOT BRING ALCOHOL TO OR SERVE ALCOHOL AT THE LOCATION OR DURING AN EVENT  WITHOUT WEWORK’S PRIOR CONSENT AND UNLESS YOU HIRE A LICENSED CATERER. LICENSED CATERERS  MAY NOT BE AVAILABLE IN ALL JURISDICTIONS.     If Organizer plans to serve alcohol at the event, it must promote events and serve alcohol in compliance with the  rules and regulations of the applicable governmental authorities, including, but not limited to, the appropriate  municipal and liquor authorities, and ensure that the event has been approved and authorized by zoning, permit,  license or other explicit or implicit means. The Organizer must obtain or hire a licensed caterer to obtain a permit  from the appropriate governmental liquor authority and furnish a copy of that permit at least 3 days before the  event. If alcohol is being served, under no circumstances shall Organizer charge admission or cover fee to  guests or sell alcoholic beverages or food at the Location. Caterers hired to serve alcohol must provide (1) a  copy of their written alcohol service policy and (2) copies of their server training records (TIPS or equivalent).     At any event where alcohol is served, Organizer must provide to its guests foods more substantial than snacks.  Organizer must furnish to WeWork with its alcohol service permit a menu or list of food it will serve at the event.  If WeWork believes that Organizer is not satisfying its obligations to provide sufficient food it reserves the right  to delay or cancel the Event at its sole discretion and Organizer shall indemnify WeWork pursuant to the  Indemnification section below. Organizer must also make available soft drinks and other non-alcoholic  beverages available to guests. You shall be solely and fully responsible for ensuring that no alcohol is consumed  by any of your Invitees or guests who are younger than the legal age for consuming alcohol in the applicable  jurisdiction    WeWork at its sole discretion has the right to withhold permission for Organizer to serve alcohol at an event.     Security​:     Organizer and all invitees may be required to present a valid, government-issued photo identification in order to  gain access to the Location. For security purposes, we may regularly record via video certain areas of the  Location. If we deem it reasonably necessary, we may disclose information about Organizer and/or invitees to  satisfy applicable law, rule, regulation, legal process or government request, or to protect WeWork, our  members, or other individuals, or any of our or their property. It is your obligation to notify invitees about this  policy. If applicable, we may require security guards to be on duty throughout an event.      Insurance​:     Organizer and all hired vendors, contractors, subcontractors and independent contractors of any kind hired by  Organizer to provide services at the Event (collectively, “Vendors”) shall maintain the insurance coverage  provided for by this section, effective from the commencement of the License until Organizer vacates from and  surrenders possession of the Location. Such insurance shall be with carriers acceptable to WeWork, authorized  to do business in the state in which the Location is located. Original certificates and policy or policies shall be  delivered to WeWork with proof of payment of the premiums. WeWork Companies Inc. and its subsidiaries shall  be named as an additional insured under all such insurance policies on a primary and non-contributory basis.  Certificates of insurance shall be submitted to WeWork no later than 48 hours prior to the commencement of the  License.  All Vendors shall, at its expense, maintain and keep in full force and effect,     1. Commercial General Liability insurance (“CGL”), including Contractual Liability, Bodily Injury & Property  Damage, Products & Completed Operations Liability, Personal and Advertising Injury Liability, written on 

an occurrence form, with combined limits of liability of no less than $1,000,000 per occurrence and  $2,000,000 in the aggregate.     1.

Liquor Liability insurance with minimum limits of liability of $1,000,000 per occurrence if alcohol is being  served on the Location.

Workers’ Compensation insurance providing statutory benefits in accordance with the law. Employers’  Liability insurance with minimum limits of $500,000.

Umbrella/Excess Liability insurance on a following form basis above all the foregoing policies (with the  exception of Workers’ Compensation insurance) with minimum limits of liability of $4,000,000 per  occurrence and $4,000,000 in the aggregate. 

  

 

  All policies (except for workers’ compensation/employers’ liability coverage) shall be endorsed to name the  landlord (“Landlord”) and WeWork Companies, Inc.; WeWork Management LLC and their respective subsidiaries,  officers, agents, employees, affiliates, successors, and assigns, and any other entity specified by Landlord as  Additional Insureds. All insurance policies shall include a clause stating that the insurer waives all rights of  recovery, under subrogation or otherwise, against the Additional Insureds. All insurance policies shall be primary  and non-contributory and shall under no circumstances be construed to apply as excess or contribute with any  insurance coverage independently carried by any of the Additional Insureds. The policies cannot contain any  provision that would preclude coverage for suits/claims brought by an additional insured against a named  insured.    All required insurance policies shall be maintained with insurance companies licensed within the State in which  work is being performed and holding an AM Best rating of no less than A- VIII. Said policies shall contain a  provision that that coverage will not be canceled, non-renewed or materially changed, until at least thirty (30)  days’ prior written notice has been provided to the Additional Insureds.    Certificates of Insurance on an Acord 25 Form shall be delivered to the Additional Insureds prior to entering into  the building evidencing the coverage required above.     Permits and Certificates​:    All permits and certificates to comply with all relevant municipal and state regulations are the sole responsibility  of the Organizer. WeWork shall not be held responsible and shall be held harmless against any claim from any  party, for any permits and/or certificates that are or may be denied, for any reason.    Additional Conditions​:    All construction and production will be performed in a tidy and professional manner. Any outside vendor  needing to mount equipment or displays and penetrate the building’s infrastructure must receive approval from  WeWork. If approval is granted, Organizer must return the building’s surface back to its original condition at the  end of the event. Such changes or additions to the building’s infrastructure include, but are not limited to, the  installation of equipment, decorative painting and hanging of promotional material.    All rentals and outside materials must be removed from the Location immediately after the event. Storage will  not be available.    

WeWork will not accept any curbside deliveries or pick-ups. WeWork reserves the right to approve all vendors  participating in the event. Any participating vendor shall provide WeWork with the appropriate certificates of  insurance prior to the date of the event.      WeWork, with the consultation of Security Provider, reserves the right to limit the number of persons entering  the Location so that there is proper emergency egress at all times. This number will be determined upon the  completion of set construction and seating on the Location.     Organizer agrees that all attendees of the Event will be considered WeWork members for the duration of the  event.     General Disclaimer/Waiver of Liability​:    Organizer hereby waives all claims it may have against WeWork and WeWork’s agents for any damage or injury  to person or property sustained by Organizer or Organizer’s agents or any persons claiming through Organizer  or by any occupant of the Location, or by any other person, resulting from (i) any part of the use of the Location  by Organizer, (ii) any accident on or about the Location or (iii) directly or indirectly, any act or neglect of any  person, including WeWork to the extent permitted by law. Organizer further hereby waives, without limitation,  any damage or injury to person or property caused by water, snow, frost, steam, excessive heat or cold, sewage,  gas, odors, noise, or caused by bursting or leaking pipes or plumbing fixtures and shall apply equally whether  any such damage results from the act or neglect of Organizer or of any other person including WeWork to the  extent permitted by law.    Organizer’s equipment and any third party equipment rented or used by Organizer in connection with its use of  the Location and any other personal property belonging to Organizer or any occupant of the Location that is in  or on any part of the Location shall be there at the risk of Organizer or of such other person only and WeWork  shall not be liable for any damage thereto or for the theft or misappropriation thereof.    Notwithstanding anything to the contrary herein, there shall be absolutely no personal liability asserted or  enforceable against WeWork or on any persons, firms or entities who constitute WeWork with respect to any  terms, conditions and provisions of this Agreement.    WeWork’s liability, including but not limited to a failure of WeWork to meet its obligations hereunder, shall not  exceed the amounts paid by Organizer to WeWork.     Indemnification​:    Organizer agrees to indemnify, hold harmless and defend WeWork and its subsidiaries and affiliates, and each  of its and their past, present, and future principals, members, assignees, managers, directors, officers, agents,  employees, successors, and assigns, for and from, and against any and all claims, actions, proceedings,  damages, liabilities, and expenses of every kind, whether known or unknown (including reasonable attorney’s  fees), resulting from or arising out of:    a. any work or thing done by Organizer or any agent, contractor, employee, licensee or invitee of Organizer in,  on or about the Location or any part thereof or in or about the Building;    b. any use, non-use, possession, occupation, condition, operation, maintenance or management by Organizer of  the Location, yards or passageways to and from the Building; 

  c. all fines, suits, proceedings, claims, demands and actions of any kind or nature whatsoever brought by anyone  whomsoever arising or growing out of or in any other connection with the Organizer’s use, operation and  maintenance of the Location;    d. any accident, injury, or damage to any person or property occurring in the Location or any part thereof;    e. any failure on the part of Organizer to perform or comply with any of the agreements, terms or conditions  contained in this Agreement on its part to be performed or complied with;    f. any act by Organizer in connection with the Event that infringes or misappropriates on a patent, trademark,  service mark, copyright, trade secret, privacy or other proprietary right of another party, including but not limited  to unlicensed use of music or use of any photographs or video.    If any such claim, action or proceeding is brought against us, our subsidiaries/affiliates, or any of our past,  present and future principals, members, assignees, agents, successors, or assigns, Organizer will, upon written  notice from WeWork, at Organizer’s expense, resist or defend such action or proceedings by counsel  reasonably approved by WeWork in writing.    Photography/Video    If WeWork has consented to the presence of a photographer or videographer at the Event, such photographer  or videographer will solely take photographs or videos of the Event and its attendees. Under no circumstances  shall such photographer or videographer take photographs or videos of any other individuals or locations in the  Building. Organizer shall, and shall cause such photographer or videographer, to grant WeWork a nonexclusive,  worldwide and perpetual license to such photographs or videos. Nothing in this Agreement shall grant  Organizer or any vendor of the Organizer to use photographs or videos of the Event, the Location or the  Building if Organizer breaches any of its obligations hereunder. Prior to Organizer’s use of any photographs or  video of the Event, Organizer shall obtain releases from the attendees of the Event as required by applicable  law.     Force Majeure    If the Location cannot be delivered to Organizer for the Event due to events out of WeWork’s control, such as  acts of God, act of terrorism, fire, flood and/or natural disaster, WeWork shall not be responsible or liable for any  damages or liability as a result of not being able to deliver the Location. WeWork shall not be responsible for any  loss, theft or damage to Organizer’s personal property and rentals including but not limited to, merchandise, gift  bags, decor, computers, coat-check items, product and equipment, unless caused by the gross negligence of  willful misconduct of WeWork.    Miscellaneous    Each party hereto represents and warrants that it has the power and authority to execute this Agreement on  behalf of the respective entity for which it has signed and that this Agreement is binding and enforceable  against the respective parties hereto in accordance with its terms.    In the event that any one or more of the provisions contained in this Agreement shall for any reason be held to  be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any 

other provision of this Agreement, but this Agreement shall be construed as if such invalid, illegal or  unenforceable provision had never been contained herein. Further, in the event that any provision of this  Agreement shall be held to be invalid, illegal or unenforceable by virtue of its scope or period of time, but may  be enforceable by a limitation thereof, such provision shall be deemed to be amended to the minimum extent  necessary to render it valid, legal and enforceable or in the alternative both parties shall negotiate in good faith  to substitute for such invalid, illegal, or unenforceable provision a mutually acceptable provision that is  consistent with the original intent of the parties.    WeWork shall not be responsible for any loss, theft or damage to Organizer’s or any attendee’s personal  property and rentals including but not limited to, merchandise, gift bags, decor, computers, product and  equipment. Organizer shall be responsible solely for its property and rentals and/or arrange for security services  to guard its personal property and attendee’s property at all times if required.    This Agreement constitutes the entire agreement as to the subject matter as stated herein between the parties  and supersedes all previous understandings, commitments or representations concerning its subject matter.  This Agreement may not be amended or modified in any way, and none of its provisions may be waived, except  by a writing signed by an authorized officer of each party.    The parties expressly agree that the governing law of this Agreement shall be the substantive law of the state in  which the building is located without regard to or application of choice of law principles or the body of law  relating to the United National Convention on the International Sale of Goods.
